User Agreement

1. Acceptance of Terms

By creating an account, hosting an event, purchasing a ticket, or connecting a payout method on LastNight (the "Platform"), you agree to be bound by this User Agreement, our Privacy Policy, and any additional terms referenced herein. If you do not agree, you may not use the Platform. Continued use of the Platform after changes to this Agreement constitutes acceptance of the revised terms.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to create a hosting account or connect a payout method. Events may carry their own age restrictions (e.g., 18+, 21+) which are set and enforced by the event host. You represent that all information you provide to the Platform is accurate, current, and complete.

3. Account Registration & Security

Accounts are registered and verified via SMS one-time passcodes sent to your mobile phone number. You are responsible for maintaining the security of your phone number and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that we reasonably believe are fraudulent, abusive, or in violation of this Agreement.

4. Payment Processing & Payout Information

Payments on the Platform are processed by third-party payment processors, including Stripe and PayPal. When a host connects a PayPal account for payouts using "Log in with PayPal," we receive and store the following information provided by PayPal with your consent: • Personal information: your full name and email address; • Address information: street address, city, state, country, and postal code; • Account information: your PayPal account verification status and your PayPal account ID (payer ID). We collect and retain this information to verify ownership of the payout destination, to comply with anti-fraud and anti-money-laundering obligations, to route withdrawals to the correct account, and to resolve payment disputes. We do not receive or store your PayPal password or your PayPal balance information. You may disconnect your PayPal account at any time, though we may retain records as required for legal, tax, and audit purposes.

5. Fees

Ticket purchases may include processing fees, host-defined fees, and platform fees, all of which are displayed at checkout before payment is completed. Fees are non-refundable except where required by law or expressly stated otherwise. The Platform reserves the right to modify its fee structure at any time; changes apply prospectively to future transactions only.

6. Tickets, Refunds & Cancellations

All ticket sales are final unless the event is cancelled by the host or the Platform. If an event is cancelled, refunds will be issued to the original payment method for the ticket face value and applicable fees as determined by the refund policy in effect at the time of purchase. Tickets requiring host approval are not confirmed until approved; unapproved requests are automatically refunded. Tickets are non-transferable except through the Platform's official ticket transfer feature. Resale of tickets outside the Platform is prohibited and may result in ticket invalidation without refund.

7. Host Obligations & Payouts

Hosts are solely responsible for the events they list, including accuracy of event details, compliance with local laws, permits, venue agreements, capacity limits, and age restrictions. Payouts of event proceeds are made to the host's connected payout method (Stripe or PayPal) and may be subject to holding periods, manual review, or withholding in cases of suspected fraud, excessive refunds, chargebacks, or disputes. The Platform may pause or reverse payouts where required to cover refunds, chargebacks, or losses attributable to the host's events.

8. Prohibited Conduct

You agree not to: (a) use the Platform for any unlawful purpose; (b) create accounts using false, misleading, or stolen information; (c) use virtual phone numbers, automation, bots, or scripts to purchase tickets or create accounts; (d) circumvent, disable, or interfere with security or anti-fraud features; (e) list events that are fraudulent, dangerous, or violate any law; (f) harass, threaten, or defraud other users; (g) infringe the intellectual property rights of others; or (h) resell tickets outside of the Platform. Violations may result in immediate account termination, forfeiture of pending payouts to cover losses, and referral to law enforcement.

9. Information We Collect

In addition to the payout information described in Section 4, the Platform collects: account information (phone number, username, name); transaction records (orders, tickets, refunds); device and technical information (device model, operating system, browser, screen resolution, IP address, approximate location derived from IP, timezone, and language settings); and usage information (pages viewed, events browsed, and checkout interactions) used for security, fraud prevention, and service improvement. 10. Fraud Prevention

The Platform employs automated and manual fraud detection systems. We may verify phone number type and carrier information, analyze device signals, and review transaction patterns to protect buyers and hosts. Accounts or transactions flagged by these systems may be delayed, reversed, or blocked. We reserve the right to withhold payouts pending investigation of suspicious activity.

11. Intellectual Property

The Platform, including its design, logos, software, and content (excluding user-submitted content), is owned by the Platform and protected by intellectual property laws. Hosts retain ownership of content they upload (e.g., event flyers) and grant the Platform a worldwide, non-exclusive, royalty-free license to display, reproduce, and distribute that content for the purpose of operating and promoting the Platform.

12. Third-Party Services

The Platform integrates with third-party services including Stripe, PayPal, Apple Wallet, and SMS providers. Your use of those services is subject to their respective terms and privacy policies. We are not responsible for the acts or omissions of third-party providers, including payment delays, service outages, or account limitations imposed by those providers.

13. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THE PLATFORM DOES NOT ORGANIZE, HOST, OR CONTROL EVENTS AND MAKES NO REPRESENTATIONS REGARDING THE QUALITY, SAFETY, OR LEGALITY OF ANY EVENT. ATTENDANCE AT EVENTS IS AT YOUR OWN RISK.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO THE PLATFORM IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). IN NO EVENT SHALL THE PLATFORM BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

15. Indemnification

You agree to indemnify and hold harmless the Platform, its officers, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Platform, your events, your violation of this Agreement, or your violation of any rights of a third party.

16. Termination

You may stop using the Platform at any time and may request account deletion through account settings. We may suspend or terminate your access at any time, with or without notice, for conduct that violates this Agreement or is otherwise harmful to the Platform or its users. Sections that by their nature should survive termination (including Sections 4, 9, 13, 14, and 15) shall survive.

17. Changes to this Agreement

We may update this Agreement from time to time. Material changes will be communicated through the Platform. The "Last updated" date below reflects the most recent revision. Your continued use of the Platform after changes become effective constitutes acceptance of the updated Agreement.

18. Governing Law & Disputes

This Agreement is governed by the laws of the United States and the state in which the Platform is organized, without regard to conflict-of-law principles. Any dispute arising from this Agreement shall first be attempted to be resolved informally by contacting support. Disputes that cannot be resolved informally shall be resolved through binding arbitration on an individual basis; you waive any right to participate in a class action.
